Please read these Terms of Service and Privacy Policy (“Agreement”) carefully before using the Connect website and any related websites collectively, the “Site” or the Services (as defined herein) operated by Prime Research Solutions LLC dba CloudResearch (“us”, “we”, “our” or the “Company”). This Agreement sets forth the legally binding terms and conditions for your use of the Site.

By accessing or using the Site and/or the Services in any manner, including, but not limited to, visiting or browsing the Site, initiating contact with us through the Site or contributing content or other materials to the Site, you agree to be bound by this Agreement.  This Agreement supplements CloudResearch’s Standard Terms and Conditions & Privacy Policy which are incorporated herein by reference.

This Agreement describes our policies and procedures on the collection, use and disclosure of Your information when You use the Site and tells You about Your privacy rights and how the law protects You.

We use Your Personal data to provide and improve the Service. By using the Site or the Service, You agree to the collection and use of information in accordance with this Privacy Policy.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Account means a unique account created for You to access our Service or parts of our Service.

It refers to third-party companies or individuals employed by the Company to facilitate the Service, to provide the Service on behalf of the Company, to perform services related to the Service or to assist the Company in analyzing how the Service is used.

Third-party Social Media Service refers to any website or any social network website through which a User can log in or create an account to use the Service.

Usage Data refers to data collected automatically, either generated by the use of the Service or from the Service infrastructure itself (for example, the duration of a page visit).

Website refers to Connect, accessible from connect.cloudresearch.com

You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Collecting and Using Your Personal Data

Usage Data

Usage Data is collected automatically when using the Service.

Usage Data may include information such as Your Device’s Internet Protocol address (e.g. IP address), browser type, browser version, the pages of our Service that You visit, the time and date of Your visit, the time spent on those pages, unique device identifiers and other diagnostic data.

When You access the Service by or through a mobile device, We may collect certain information automatically, including, but not limited to, the type of mobile device You use, Your mobile device unique ID, the IP address of Your mobile device, Your mobile operating system, the type of mobile Internet browser You use, unique device identifiers and other diagnostic data.

Payment Data

To provide You with news, special offers and general information about other goods, services and events which we offer that are similar to those that you have already purchased or enquired about unless You have opted not to receive such information.

To manage Your requests: To attend and manage Your requests to Us.

For business transfers: We may use Your information to evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by Us about our Service users is among the assets transferred.

For other purposes: We may use Your information for other purposes, such as data analysis, identifying usage trends, determining the effectiveness of our promotional campaigns and to evaluate and improve our Service, products, services, marketing and your experience.

Retention of Your Personal Data

The Company will retain Your Personal Data only for as long as is necessary for the purposes set out in this Agreement. We will retain and use Your Personal Data to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data to comply with applicable laws), resolve disputes, and enforce our legal agreements and policies.

The Company will also retain Usage Data for internal analysis purposes. Usage Data is generally retained for a shorter period of time, except when this data is used to strengthen the security or to improve the functionality of the Service, or We are legally obligated to retain this data for longer time periods.

Transfer of Your Personal Data

Your information, including Personal Data, is processed at the Company’s operating offices and in any other places where the parties involved in the processing are located. It means that this information may be transferred to — and maintained on — computers located outside of Your state, province, country or other governmental jurisdiction where the data protection laws may differ than those from Your jurisdiction.

Your consent to this Agreement followed by Your submission of such information represents Your agreement to that transfer.

The Company will take all steps reasonably necessary to ensure that Your data is treated securely and in accordance with this Agreement and no transfer of Your Personal Data will take place to an organization or a country unless there are adequate controls in place including the security of Your data and other personal information.  However, You acknowledge and agree that Company has no control over how a third party may use and/or disclose your Personal Data.

Disclosure of Your Personal Data

Business Transactions

If the Company is involved in a merger, acquisition or asset sale, Your Personal Data may be transferred. We will provide notice before Your Personal Data is transferred and becomes subject to a different terms of service and/or privacy policy.

Law enforcement

Under certain circumstances, the Company may be required to disclose Your Personal Data if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency).

Security of Your Personal Data

The security of Your Personal Data is important to Us, but remember that no method of transmission over the Internet, or method of electronic storage is 100% secure. While We strive to use commercially acceptable means to protect Your Personal Data, We cannot guarantee its absolute security.

Researcher Specific Agreement

By accessing (including by automated means) or registering for the Site, you accept this Agreement and represent that you are at least 18 years old and have authority to bind yourself or the company you represent to this Agreement.

  1. Registration.
    1. Registration. When you register for the Site, you must provide complete and accurate information and ensure that such information (as well as any additional information we may require to, among other things, verify your identity) is complete, accurate, and up-to-date at all times.
    2. Passwords and Account Use. You are solely responsible for maintaining the secrecy and security of your password, and any use or action taken under your account. If your password is compromised, you must change your password. You may not permit any other person or entity to request or perform Projects using your account. If you believe there is an error or unauthorized transaction or activity associated with your account, contact us immediately.
  2. CloudResearch Connect’s Role. The Site is a venue for Researchers to recruit participants and for Participants to complete Projects. Unless we are participating on the Site as a Researcher, we are not involved in the recruitment or the completion of Projects, and have no control over the quality, safety, or legality of Projects or consideration for Projects, the ability of Participants to complete Projects to Researchers’ satisfaction, or the ability of Researchers to pay for Projects. We are not responsible for the actions of any Researcher or Participant or performing any screening of Researcher or Participant. Because we are not a party to the transactions between Participant and Researcher, we are not responsible for resolving any disputes between Participant and Researcher related to any Projects or any transaction.
  3. Your Use of the Site.
    1. As a Researcher, you agree that: (i) you will interact with Participants in a professional and courteous manner, and accurately describe your Tasks; (ii) you may only use the Site for business, commercial, or research purposes; (iii) you may not have Participants partake in Projects through venues other than the Site (unless expressly permitted by us in a policy posted on the Site); (iv) payment will be deducted from your CloudResearch Credit balance and remitted to Participants; (v) you will not reject Projects performed by Participants without good cause; (vi) in addition to payment to Participants, you will be charged fees for your Projects in accordance with our pricing, (vii) you understand that our pricing may vary in the future, and agree to pay the fees posted on the Site.
      1. As a Researcher for CloudResearch Projects, you agree: (i) payment will be deducted from your CloudResearch Credit balance and remitted to Participants once you approve submissions; and (ii) if your CloudResearch Credit is not sufficient to cover payment to Participants and our fees, you will promptly obtain the amount of CloudResearch Task Credits necessary to meet any outstanding amounts due.
    2. We are not responsible for the stability or quality of the third-party platform you use to host the Project. Your use of that platform will be governed by whatever terms you have agreed with its provider. We will not review the content of Submissions.
    3. Access to Connect is not guaranteed, and we may suspend or close your Researcher Account at any time
      1. Follow best practice rules and do not engage in actions that promote prohibited activities and/or illegal , harmful, fraudulent, infringing or objectionable. You can refer to this link for some guidance.
    4. Feedback; Materials You Post or Provide. We may implement mechanisms allowing us and others to track your requests for, or your performance of, Projects and rate your performance as a Researcher or Participant, and we reserve the right to collect that feedback related to you and to post that feedback on the Site. The Project content that you upload and work product that you receive via the Site may be retained and used to improve the Site and other machine learning related products and services offered by us or our affiliates. For any other information and materials you post or otherwise provide to us related to the Site, including scripts, browser plug-ins and extensions, or other programs for use on the Site (each, a “Submission“), you grant us a non-exclusive, royalty-free, perpetual, worldwide, irrevocable license to (i) use, copy, distribute, transmit, make available, publicly display, publicly perform, reproduce, edit, adapt, modify, translate, reformat, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, your Submission in connection with operating and improving the Site, and (ii) sublicense these rights. We will not pay you for your Submission, and may remove your Submission at any time. For each Submission you provide, you represent that you have all rights necessary for you to grant us the rights provided in this section.
    5. Fraudulent Transactions. Fraudulent transactions may result in loss of your credits, account balance, and/or money paid to CloudResearch for Projects with no recourse. You should contact us immediately if you believe an unauthorized transaction or activity associated with your account has occurred.
    6. Unfair Behavior. Where CloudResearch believes the Researcher is engaged in fraud or unfairness is occurring we have the right to reverse rejections.
    7. Soliciting Users and Marketing For Third Party Sites. Projects may not be setup for the purpose of soliciting participants to join a third party site/application nor to market the promotion of a third party site/application. Doing so will result in immediate termination of the Researcher account.
  4. Authorizations. You authorize us, and third-party service providers or agents acting on our behalf, to hold, receive, and disburse funds in accordance with your payment instructions. Your authorization permits us to (i) debit or credit your ACH-enabled bank account (including by generating a paper draft or an electronic funds transfer) (ii) transfer, disburse, or process other payment transactions associated with Projects; (iv) settle payment for any fees that may be charged under this Agreement; and (v) make, directly or through third parties, inquiries to validate information that you provide to us. If there is an error in the processing of any transaction described above, you authorize us to debit or credit your ACH-enabled bank account and evidence such action to correct the error. If we are unable to collect amounts owed to us for any reason, you authorize us to resubmit the debit, plus any applicable fees, to any other ACH-enabled bank account or payment instrument that you have on file with us. Your authorizations will remain in full force and effect as long as any amounts under this Participation Agreement are due to or from us or due to any Participant.
  5. Refunds. Refunds offered within 18 months of funding. No refunds for discounts and promotional credits.
  6. Collecting PII (Personal Identifiable Information). Examples of PII include: First and/or last name, email address, mailing address, date of birth, and identification numbers (such as ssn). Researchers are allowed to collect PII on the projects that they run on our platforms, provided that they adhere to the following:
    • The project includes detail that it will be collecting PII. The researcher must provide as much detail as possible in the project’s instructions on what kind of PII will be collected, as well as the processes involved in collecting them.
    • PII cannot be required and will remain optional at any point in the project’s lifecycle.
  7. No Warranties. THE SITE, THE SERVICE, THE PAYMENT PROCESSING SERVICE, THE TASKS, AND THE PERFORMANCE AND RESULTS OF THE SERVICES ARE PROVIDED ON AN “AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE” BASIS. YOU EXPRESSLY AGREE THAT USE OF THE SITE, THE SERVICE, THE PAYMENT PROCESSING SERVICE, THE TASKS, AND THE PERFORMANCE AND RESULTS OF THE SERVICES ARE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE, THE SERVICE, THE PAYMENT PROCESSING SERVICE, THE TASKS, OR THE PERFORMANCE AND RESULTS OF THE TASKS. AND DISCLAIM ANY AND ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION: (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE SITE, THE SERVICE, THE PAYMENT PROCESSING SERVICE, THE TASKS, OR THE PERFORMANCE AND RESULTS OF THE TASKS WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, OPERATE WITHOUT ERROR, OR WILL CONTAIN ANY PARTICULAR FEATURES OR FUNCTIONALITY; (C) ANY WARRANTY THAT THE INFORMATION, CONTENT, MATERIALS, OR SUBMISSIONS INCLUDED ON THE SITE WILL BE AS REPRESENTED BY RESEARCHERS OR PARTICIPANTS, THAT THE TASKS AND THE PERFORMANCE AND RESULTS OF THE TASKS ARE LAWFUL, OR THAT RESEARCHERS OR PARTICIPANTS WILL PERFORM AS PROMISED OR TO YOUR SATISFACTION; OR (D) ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
  8. Limited Payment Processing Role; No Liability for Transactions or Delays. We are not a bank and do not offer banking services. Except for our limited role in providing the Payment Processing Service, we are not involved in any underlying transactions between Site participants (unless we are participating on the Site as a Requester). We do not guarantee payment on behalf of any Requester. In addition, to the fullest extent permitted by applicable law, we will not be liable for any failure, delay, or damages arising out of the Payment Processing Service, or any transactions entered into through the Site.
  9. Indemnification. You will indemnify, defend and hold harmless CloudResearch and its affiliates (and their respective officers, directors, employees, directors, agents and representatives) from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest and expenses (including reasonable attorneys’ fees) arising out of any claim, action, audit, investigation, inquiry or other proceeding instituted by a person or entity that arises out of or relates to: (i) any actual or alleged breach of your representations, warranties, or obligations set forth in this Agreement; (ii) any Submissions, including any actual or alleged infringement or misappropriation of third-party rights by any of those Submissions; (iii) your wrongful or improper use of the Site and/or Service; or (iv) a dispute between you and any other Site participant.
  10. Hateful Conduct. You may not create projects that have content which directly attack other people on the basis of race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease. You may not conduct the same behavior in our Conversations messaging platform. Exhibiting this behavior can result immediate account termination.

Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, OR OTHER ACTIVITIES INITIATED THROUGH OR RELATED TO THE SITE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall our total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of ten dollars ($10.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

Children’s Privacy

The Service does not address anyone under the age of 18. We do not knowingly collect personally identifiable information from anyone under the age of 18. If You are a parent or guardian and You are aware that Your child has provided Us with Personal Data, please contact Us. If We become aware that We have collected Personal Data from anyone under the age of 18 without verification of parental consent, We take steps to remove that information from Our servers.

If We need to rely on consent as a legal basis for processing Your information and Your country requires consent from a parent, We may require Your parent’s consent before We collect and use that information.

Links to Other Websites

Our Service may contain links to other websites that are not operated by Us. If You click on a third party link, You will be directed to that third party’s site. We strongly advise You to review the Privacy Policy of every site You visit.

We have no control over and assume no responsibility for the content, privacy policies or practices of any third party sites or services.

Changes to these Terms of Service; Conflicts

We may update these Terms of Service (including the CloudResearch Terms of Service and Privacy Policy from time to time. We will notify You of any changes by posting the new Privacy Policy on this page.

We will let You know via email and/or a prominent notice on Our Service, prior to the change becoming effective and update the “Last updated” date at the top of this Privacy Policy.  By your use of the Website, you hereby consent to any and all changes to these Terms of Service

You are advised to review this Terms of Service periodically for any changes. Changes to these Terms of Service are effective when they are posted on this page.

In the event of any conflict between these Terms of Service and the CloudResearch Terms of Service, to the extent relating to the Connect service, these Terms of Service shall prevail.
